This course provides a comprehensive overview of directors’ duties and the principles of good corporate governance.
Directors are the focal point for decision-making and governance of corporations. In times of uncertainty or increased scrutiny, the focus often shifts to apportion blame and responsibility for corporate failures or misconduct. For example, the recent Royal Commission into Misconduct in the Banking, Superannuation and Financial Services Industry has certainly exposed the banking and financial services industry to significantly greater levels of scrutiny.
ASIC continues to probe failures and misconduct with a focus on prosecuting cases involving directors and officers who fail to meet their duties, particularly where this leads to harm. ASIC’s ability to effectively enforce the law has also received a significant boost from the recent increases in civil and criminal penalties for directors, officers and corporations involved in breaches of the Corporations Act by the Treasury Laws Amendment (Strengthening Corporate and Financial Sector Penalties) Bill 2018.
In this climate, it is essential for lawyers to have a comprehensive understanding of directors’ duties and principles of good corporate governance, as well as the most recent developments in this area of law. This course discusses:
- the duties and obligations of directors as established by statute, common law and equity;
- civil and criminal penalties applicable to directors who breach their duties;
- significant and recent case law examining the duties of directors in detail; and
- the ASX principles of corporate governance.
